BAW-D Technologies Terms of Use and End User License Agreement

1. Agreement to These Terms

These Terms of Use and End User License Agreement (“Terms”) govern your access to and use of BAW-D Technologies, including its websites, mobile applications, business-planning workspaces, Brain Stormer tools, financial tools, community features, reports, content, and related services (collectively, the “Services”).

BAW-D Technologies is a platform project operated by Isthmus Digital Media Group LLC (“BAW-D,” “we,” “us,” or “our”).

By creating an account, purchasing access, downloading an application, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

If you use the Services for a business, agency, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

The Services are not directed to children under 13.

3. The BAW-D Services

BAW-D provides tools for developing business ideas, organizing business-planning information, conducting research, preparing financial projections, collaborating with other users, and producing business-planning documents and reports.

Available features may include:

• Brain Stormer idea-development tools;
• Business Idea workspaces;
• Business-plan drafting and organization;
• Financial projections and financial statements;
• Market and industry research assistance;
• Collaboration and permission controls;
• Reports, exports, charts, and planning documents;
• Artificial-intelligence-assisted features;
• Community, networking, and educational content; and
• Technical and customer-support services.

The specific features, project limits, collaborator limits, access period, and service level included with a purchase are those displayed on the applicable pricing or checkout page at the time of purchase.

4. Accounts and Account Security

You must provide accurate and current account information. You are responsible for maintaining the confidentiality of your password, verification links, authentication credentials, and account.

You are responsible for activity performed through your account, except for activity caused directly by a security failure within systems controlled by BAW-D.

You must promptly notify us via /support if you believe your account has been accessed without authorization.

You may not sell, transfer, rent, or share your personal login credentials. Authorized collaborators must use their own accounts and email addresses.

5. Workspace Ownership and Collaboration

The user who creates or purchases a workspace is ordinarily treated as its primary owner or lead collaborator unless another arrangement is established through the Services.

Lead collaborators may invite other users and assign or remove access according to the permission features available within the Services.

Inviting a collaborator does not transfer ownership of the workspace, business idea, company, intellectual property, or underlying business.

You are responsible for selecting appropriate collaborators and determining what information they may access. BAW-D is not a party to agreements between workspace owners and collaborators.

6. Purchases, Access Periods, and Future Plans

Current BAW-D workspace access may be offered through a one-time, per-project fee rather than a recurring subscription.

The price, access period, included features, limits, and payment terms shown during checkout are incorporated into these Terms. Unless checkout expressly states otherwise, purchasing a time-limited workspace does not create an automatically renewing subscription.

BAW-D may offer subscriptions, organizational plans, additional projects, expanded services, or other pricing arrangements in the future. Any recurring plan will be clearly disclosed before you agree to purchase it.

You are responsible for applicable taxes, payment-processing charges, or government fees unless the checkout page states that they are included.

7. Refunds and Cancellations

Refund eligibility, if any, is governed by the refund information displayed at checkout, the payment provider’s applicable rules, and applicable law.

Expiration, nonuse, failure to complete a plan, or removal of a collaborator does not automatically create a right to a refund.

Purchases completed through an application marketplace may also be subject to that marketplace’s payment and refund procedures.

8. User Content

“User Content” includes business ideas, plans, financial information, answers, prompts, recordings, transcripts, uploaded files, comments, community posts, and other material that you submit to the Services.

As between you and BAW-D, you retain ownership of your User Content, subject to any rights belonging to other people or organizations.

You grant BAW-D a limited, nonexclusive license to host, store, reproduce, process, format, transmit, and display your User Content only as reasonably necessary to operate, secure, support, and improve the Services, fulfill your requests, and comply with law.

You represent that you have the rights and permissions required to submit User Content and authorize its processing through the Services.

Do not submit confidential information belonging to another person or organization unless you are authorized to do so.

9. Artificial Intelligence Features

Some Services may use artificial intelligence, automated analysis, transcription, or other machine-assisted tools to generate suggestions, summaries, questions, research, calculations, classifications, drafts, or other output (“AI Output”).

AI Output may be incomplete, inaccurate, outdated, inconsistent, or inappropriate for your circumstances. You are responsible for reviewing and verifying AI Output before relying on, publishing, submitting, or sharing it.

AI Output is not a substitute for qualified legal, accounting, tax, investment, lending, financial, vocational, medical, or other professional advice.

You must not represent AI Output as independently verified or professionally certified unless it has actually received the applicable review.

AI features may be provided through third-party service providers. Additional information about data processing is provided in our Privacy Policy.

10. Business and Financial Information Disclaimer

BAW-D is a planning and documentation platform. It is not a bank, lender, broker, accounting firm, law firm, investment adviser, securities dealer, credit-repair organization, government agency, or funding guarantor.

Business plans, feasibility assessments, financial projections, market research, scoring, reports, and other outputs are based on information, assumptions, estimates, formulas, and data that may change or be incorrect.

Use of the Services does not guarantee:

• business success or profitability;
• approval for financing, grants, benefits, or investment;
• accuracy of market demand or competitor information;
• compliance with accounting, tax, or legal requirements;
• acceptance of a plan by a lender or government agency; or
• any particular revenue, valuation, or financial result.

You are responsible for reviewing assumptions and obtaining appropriate professional advice before making business, legal, financial, tax, employment, lending, or investment decisions.

11. Research and Third-Party Information

Research, industry data, competitor information, articles, citations, links, and other third-party information may be incomplete, delayed, or inaccurate.

Inclusion of third-party information does not constitute an endorsement, partnership, certification, or guarantee by BAW-D. You are responsible for confirming information directly with the original source.

12. Community and Marketplace Features

BAW-D may provide community, discussion, networking, classified, marketplace, business-transfer, product, or service-listing features.

Unless expressly stated otherwise, BAW-D is not a party to transactions or agreements between community members. BAW-D does not act as a broker, escrow agent, lender, appraiser, attorney, accountant, or guarantor for community transactions.

Users are responsible for conducting due diligence, confirming identities, evaluating opportunities, documenting agreements, and complying with applicable laws before entering a transaction.

We may moderate, restrict, remove, or decline to publish community content, but we are not obligated to review every submission.

13. Acceptable Use

You may not use the Services to:

• violate any law, regulation, court order, or third-party right;
• commit fraud, impersonation, deception, or misrepresentation;
• submit information you do not have permission to use;
• infringe copyrights, trademarks, privacy rights, or trade secrets;
• upload malicious code or interfere with platform security;
• probe, scan, or test systems without written authorization;
• scrape, harvest, or collect user information without permission;
• send spam, automated solicitations, or deceptive promotions;
• circumvent payment, access, project, usage, or permission limits;
• reverse engineer the Services except where law expressly permits it;
• use the Services to create unlawful discriminatory decisions;
• sell prohibited, fraudulent, stolen, or unlawfully obtained items;
• harass, threaten, exploit, or abuse another person; or
• use AI features to generate unlawful or harmful material.

14. BAW-D Intellectual Property

The Services, software, design, interfaces, workflows, templates, source code, databases, branding, graphics, documentation, and other BAW-D materials are owned by Isthmus Digital Media Group LLC or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, BAW-D grants you a limited, personal, nonexclusive, nontransferable, nonsublicensable, and revocable license to use the Services for their intended business-planning purposes during your authorized access period.

These Terms do not transfer ownership of BAW-D technology, trademarks, templates, platform architecture, or other proprietary materials to you.

15. Feedback

If you provide suggestions, corrections, feature requests, or other feedback, you grant BAW-D permission to use that feedback without restriction or compensation.

This provision does not give BAW-D ownership of your underlying business idea or confidential User Content.

16. Third-Party Services and Links

The Services may connect to payment processors, artificial intelligence providers, transcription providers, cloud services, analytics services, authentication providers, application stores, or other third-party services.

Third-party services are governed by their own terms and privacy practices. BAW-D is not responsible for third-party services, websites, outages, acts, omissions, content, or security practices outside our reasonable control.

17. Early Access, MVP, and Beta Features

Certain Services may be identified as early access, MVP, preview, test, experimental, or beta features.

Such features may be incomplete, contain defects, change substantially, experience interruptions, or be discontinued. Outputs and stored information may require correction or re-entry.

You should maintain copies of important business records and exported documents outside the Services.

18. Availability and Changes to the Services

We may update, improve, restrict, replace, suspend, or discontinue features when reasonably necessary for security, maintenance, legal compliance, product development, or business operations.

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

When reasonably practical, we will provide notice before a material change that substantially reduces paid functionality during an active access period.

19. Suspension and Termination

We may suspend or terminate access if you materially violate these Terms, fail to pay required fees, create security risk, engage in fraud or abuse, or use the Services unlawfully.

When appropriate, we may provide notice and an opportunity to correct the violation before termination. Immediate suspension may be used when necessary to protect users, data, systems, or legal interests.

Provisions concerning ownership, disclaimers, limitations of liability, indemnification, dispute terms, and other provisions that logically continue will survive termination.

20. Account Deletion and Data Retention

Users may request account deletion using the methods described at /account-deletion.

Deleting an account may permanently remove access to workspaces, plans, uploaded files, reports, community content, and other account data.

We may retain limited information when reasonably necessary for security, fraud prevention, transaction records, dispute resolution, legal compliance, or enforcement of these Terms, as described in our Privacy Policy.

21. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

BAW-D disclaims all express and implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, security, and results.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

22. Limitation of Liability

To the fullest extent permitted by law, Isthmus Digital Media Group LLC and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost opportunities, lost data, business interruption, financing decisions, or reputational harm.

To the fullest extent permitted by law, our total liability arising from or relating to the Services will not exceed the amount you paid to BAW-D for the applicable Services during the 12 months preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

23. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Isthmus Digital Media Group LLC and its owners, employees, contractors, and affiliates from claims, losses, liabilities, damages, and reasonable expenses arising from:

• your unlawful use of the Services;
• your material violation of these Terms;
• your User Content;
• your infringement of another party’s rights; or
• transactions or agreements between you and another user.

24. Governing Law and Venue

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any legal action arising from these Terms or the Services must be brought in the state or federal courts located in Dane County, Wisconsin, and each party consents to those courts’ jurisdiction.

25. Application Store Terms

Apple App Store

If you obtain a BAW-D application through Apple’s App Store, these Terms are between you and Isthmus Digital Media Group LLC, not Apple. BAW-D, not Apple, is responsible for the application and its content.

Your license is limited to a nontransferable license to use the application on Apple-branded products that you own or control, as permitted by Apple’s usage rules, including authorized Family Sharing or legacy-contact access where applicable.

Apple has no obligation to provide maintenance or support for the application. BAW-D is responsible for maintenance and support to the extent required by these Terms or applicable law.

If the application fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price paid for the application, if any. To the maximum extent permitted by law, Apple has no other warranty obligation regarding the application.

BAW-D, not Apple, is responsible for addressing claims concerning the application, including product-liability claims, legal or regulatory compliance claims, consumer-protection claims, and intellectual-property claims.

You represent that you are not located in a country subject to a United States government embargo or designated as supporting terrorism and that you are not listed on a United States government prohibited or restricted-party list.

You must comply with applicable third-party agreement terms when using the application.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable App Store provisions against you.

Google Play and Other Application Stores

If you obtain an application through Google Play or another application marketplace, your use is also subject to that marketplace’s applicable terms, payment rules, and usage requirements.

To the extent of a direct conflict, mandatory marketplace terms will govern only the marketplace-related portion of your use.

26. Changes to These Terms

We may update these Terms to reflect changes in the Services, pricing models, legal requirements, security practices, or business operations.

Each published revision will display a new version number, effective date, and last-updated date.

If a change materially affects existing users, we will provide reasonable notice through the Services, email, or another appropriate method. Changes will not retroactively authorize materially different uses of personal information without appropriate notice or consent.

27. General Provisions

These Terms, the Privacy Policy, checkout terms, and any incorporated service-specific terms constitute the entire agreement between you and BAW-D concerning the Services.

If any provision is found unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver of that provision.

You may not assign these Terms without our written consent. We may assign these Terms as part of a merger, reorganization, asset transfer, financing, or sale of the Services or business.

Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations.
